12月30日，上海國際商事法庭揭牌成立。當天，上海市第一中級人民法院召開“上海國際商事法庭成立新聞發布會”，介紹上海國際商事法庭成立的背景意義與功能定位，通報上海國際商事法庭的案件管轄范圍，發布中英文版《上海國際商事法庭規程（試行）》和《上海國際商事法庭協議管轄示范條款》。

上海市第一中級人民法院黨組成員、副院長奚雪峰，上海國際商事法庭庭長何云出席發布會，發布會由上海市第一中級人民法院新聞發言人、研究室主任蔣克勤主持。二十余家新聞媒體參加發布會。

發布會介紹，上海國際商事法庭的功能定位，主要包括在履行審判職責方面，依法對涉外商事案件進行集中管轄；在改革創新方面，探索完善與高水平制度型開放更加適應的國際商事審判機制；在提升解紛效能方面，積極構筑更加專業高效的國際商事糾紛解決體系。

為保障上海國際商事法庭高質量運行，上海國際商事法庭將實施一系列有力舉措，在人才配備方面，以人才為驅動，建設涉外審判人才高地，著力打造高層次涉外審判人才培養體系；在科技支撐方面，緊緊依托上海數字法院建設成果，引入人工智能、大數據、區塊鏈等前沿科技成果，構建智能化審判管理系統；在制度保障層面，精心制定貫穿立案、審理、送達、調解等全流程的涉外審判規程。

發布會介紹，《上海國際商事法庭規程（試行）》共13章50條，從上海國際商事法庭的定位與一般條款出發，系統涵蓋管轄、訴訟參加人、案件審理、境外證據審查等一系列關鍵流程和配套機制。

在機制創新方面，《上海國際商事法庭規程（試行）》精準錨定“建設國際商事糾紛解決優選地”的目標，突出“專業化、國際化、數字化”理念，聚焦建設“八項機制”，全力打造與高水平制度型開放相適應的國際商事司法機制。其中“三化”是指上海國際商事法庭以專業化為基，建設“特定管轄法院、專門審判機構、專業審判人員”為特征的國際商事專業化審判機制；以國際化為要，秉持國際化發展理念，推動形成與國際通行規則相銜接的審判機制和裁判標準；以數字化為翼，堅持數字化發展戰略，充分運用數字技術賦能國際商事審判。《上海國際商事法庭規程（試行）》的核心內容為八項機制，包括訴訟流程簡化機制、數字深度賦能機制、管轄吸引力提升機制、多元協同解紛機制、仲裁支持保障機制、配套資源集成機制、專家智力支持機制、涉外人才培養機制。

下一步，上海國際商事法庭將精準錨定“建設國際商事糾紛解決優選地”的目標，深耕“三化”和“八項機制”建設，大力推進國際商事審判機制改革創新，推動上海國際商事法庭向更高水平的專業化、國際化、數字化方向邁進，為上海建設“五個中心”、加快建成具有世界影響力的社會主義現代化國際大都市提供更加有力的司法支撐和服務。

為進一步拓展涉外協議管轄范圍，規范涉外商事糾紛協議管轄條款擬定，上海國際商事法庭于成立之日同步向社會發布中英文版《上海國際商事法庭協議管轄示范條款》，為中外當事人約定管轄、選擇法律適用及高效解決涉外商事糾紛提供指引和參考。

本《協議管轄示范條款》包含基本管轄條款、可選擇性條款及示范條款說明三個部分。當事人通過約定明確的排他性管轄條款，可避免因管轄、法律適用、送達方式等不確定性引發爭議，拖延訴訟進程，提升爭議解決的可預期性，也有利于避免國際平行訴訟，促進裁判的域外承認與執行。同時，根據新修訂的《中華人民共和國民事訴訟法》第二百七十七條有關涉外協議管轄取消實際聯系的規定，鼓勵更多國際性商事爭議選擇中國法院訴訟。

“凡因本協議引起的或與本協議有關的任何爭議，由各方友好協商解決。協商不成時，各方均不可撤銷地同意中華人民共和國上海市上海國際商事法庭對爭議具有排他性管轄權，相關訴訟應在上海國際商事法庭提起，并接受中華人民共和國的司法管轄。”

Any dispute arising out of or in connection with this agreement shall be settled through negotiation between the parties in good faith. If the negotiation fails, the parties irrevocably agree that the Shanghai International Commercial Court of the People’s Republic of China has exclusive jurisdiction to settle the dispute, and the proceedings shall be submitted to the Shanghai International Commercial Court and subject to the jurisdiction of the People’s Republic of China.

The Shanghai International Commercial Court is a specialized international commercial judicial institution established within Shanghai First Intermediate People’s Court with the approval of the Supreme People’s Court, and exercises cross-regional jurisdiction over foreign-related commercial cases.

本協議管轄示范條款僅適用于上海國際商事法庭管轄范圍內的具有涉外因素的商事糾紛。

The Consensual Jurisdiction Model Clauses are only applied to commercial disputes involving foreign-related factors within the jurisdiction of the Shanghai International Commercial Court.

涉外商事糾紛當事人可依據《中華人民共和國民事訴訟法》第二百七十七條的規定協議選擇上海國際商事法庭管轄。

Parties involved in foreign-related commercial disputes may, in accordance with Article 277 of the Civil Procedure Law of the People’s Republic of China, agree to choose the jurisdiction of the Shanghai International Commercial Court.

涉外商事糾紛當事人在訂立管轄條款時明確選擇為排他性管轄的，可有效避免發生平行訴訟，有利于依據海牙《選擇法院協議公約》規則獲得裁判的域外承認與執行。

When parties involved in foreign-related commercial disputes explicitly choose exclusive jurisdiction in their jurisdiction clauses, it can effectively prevent parallel litigation and facilitate the recognition and enforcement of judgments abroad under the rules of the Hague Convention on Choice of Court Agreements.

法律適用示范條款中準據法的選擇，指實體法選擇，不包括程序法。

The choice of the governing law in the Model Clause refers to substantive law, and procedural law is not included.

涉外送達應依據《中華人民共和國民事訴訟法》第二百八十三條規定的方式進行。除受送達人所在國法律禁止外，上海國際商事法庭鼓勵當事人約定選擇電子送達方式，提高送達效率。

The service of process in foreign-related proceedings shall be conducted in accordance with the means stipulated in Article 283 of the Civil Procedure Law of the People’s Republic of China. The Shanghai International Commercial Court encourages parties to agree to choose service by electronic means to improve the efficiency, unless it is prohibited by the law of the country where the recipient is located.

管轄條款應以書面方式進行約定，可在合同訂立時以條款形式納入“爭議解決”部分，亦可在起訴前單獨訂立。書面形式包括合同書、信件和數據電文（包括電報、電傳、傳真、電子數據交換和電子郵件等）。

The jurisdiction clause shall be agreed upon in written form. It can either be incorporated into the contract as part of “Dispute Resolution Clauses” or be agreed separately by parties before filing a lawsuit. The written form includes contracts, mails and digital messages (including telegram, telex, fax, electronic data interchange, email, etc.).

本協議管轄示范條款，旨在規范當事人協議文本約定，提升爭議解決的可預期性，避免因管轄、法律適用或送達等爭議拖延訴訟進程，對當事人高效解決涉外糾紛具有指引、參考作用。

The Consensual Jurisdiction Model Clauses are designed to regulate the agreed text between the parties, enhance the predictability of dispute resolution, and prevent delays in the litigation process due to the disputes over jurisdiction, governing law, or service of process. The Consensual Jurisdiction Model Clauses serve as guidelines and references for parties to efficiently resolve foreign-related disputes.
